信用卡持卡人協議

本協議適用於卓銳信貸服務有限公司(下稱“卓銳”、“本公司”或“我們”;註冊地址:香港尖沙咀 Mira Place A 座 23 樓 01 室)及/或其法定繼承人和受讓人不時發行或營運的各類 ZR Pay 信用卡(統稱“信用卡”或“卡片”),亦適用於卓銳及/或其附屬公司、子公司、關聯機構,以及任何分行、辦事處(不論單獨或共同行事)所提供的相關服務。

按照香港法例第 163 章《放債人條例》,發行信用卡屬獲豁免的貸款業務。

持卡人於使用信用卡前務須細閱本協議全文。一旦您使用信用卡(包括獲批及啟用該卡),即視為您已閱讀、明白並同意遵守適用於該卡的本協議所有條款。卓銳有權就信用卡不時另行訂立補充條款及細則,而有關補充條款未必會個別通知您。倘本協議與其他補充條款及細則之間出現任何抵觸,概以本協議條文為准。本協議所採用之詞彙定義載於文末。

1. 持卡人的責任

持卡人明白並確認,信用卡乃根據持卡人所提供資料屬真實、完整及準確為前提而獲發放。

(a) 持卡人須就信用卡帳戶及一切信用卡交易(連同有關費用及收費)承擔責任,即使出現以下情形亦然:

(i) 該筆交易並無您的簽署銷售單據作實(包括透過電話、郵遞、電子途徑或直接扣賬方式而毋須銷售單據或簽名即完成之交易),又或銷售單據上的簽署與信用卡上的簽署有所出入;

(ii) 該筆信用卡交易乃在非您自願的情況下產生。縱使信用卡或本協議其後被終止,您的責任亦不會因而免除。

(b) 持卡人不可將信用卡或個人識別碼交予他人使用或轉讓,亦不得容許任何第三者動用您的信用卡或個人識別碼。

(c) 持卡人須採取合理的保安措施,當中包括:

i. 一經收到信用卡,應立即於卡上簽署;

ii. 將信用卡妥善存放於安全地方,並置於本人保管及控制之下,視作現金般看待;

iii. 將信用卡號碼另行記錄於安全地方,並與信用卡本身分開存放;

iv. 每次於自動櫃員機使用後,緊記取回信用卡;

v. 每次交易完成後,確保信用卡已及時交還給您;

vi. 收到個人識別碼通知後應盡快牢記密碼,並隨即銷毀該通知文件;

vii. 輸入個人識別碼時,務須提防被他人窺看;

viii. 應不時更改個人識別碼;

ix. 一旦懷疑個人識別碼已為他人獲悉,應立刻更改;

x. 切勿將個人識別碼書寫於信用卡上,或與信用卡放於同一位置,任何密碼紀錄均應妥為掩藏;

xi. 避免採用易被推測的數字組合作個人識別碼(例如身份證號碼、出生日期、電話號碼或其他容易獲取的個人資料);

xii. 不應將同一組密碼重複用於其他服務或場合;

xiii. 填寫銷售單據的“總額”欄時,須於數字前加上貨幣符號,並不可留有空白書寫位置;

xiv. 每筆交易應僅列印一份銷售單據;

xv. 保留每次交易的銷售單據副本,以便日後與信用卡月結單核對。

(d) 倘信用卡或個人識別碼發生遺失、被竊、外洩或遭未經授權使用,您須按第 5 條之規定盡快作出報告。

(e) 若您身為主卡持卡人,須確保各附屬卡持卡人妥善依照本協議使用及處理其信用卡及相關事務。請注意,即使主卡持卡人未有享用某些服務或優惠,附屬卡持卡人仍有可能獲享有關服務或優惠;您須確保附屬卡持卡人於使用該等服務或優惠(如適用)時,同樣遵守本協議及相關條款。

2. 信用額度之設定與檢討

(a) 您的信用卡設有適用於一般消費及現金透支之信用額度。有關詳情請參閱信用卡月結單及/或卓銳所發出之通知。您有責任確保信用卡使用不超出既定的信用額度。

(b) 卓銳將不時釐定及檢視您的信用額度。視乎情況所需,我們或會隨時就您的信用卡調整不同的信用額度,並根據評估結果對額度作出調升或調減,而毋須事先通知您,包括在無提前通知下調低額度。信用額度之釐定乃基於對閣下卡帳戶相關信貸風險(涵蓋支出及還款模式)之定期評估,以及您於申請時提交之抵押品種類與價值(參閱第13(c)條)。您可隨時向本公司提出調整信用額度之申請。

(c) 信用卡之信用額度概以港幣計算。

(d) 對於超逾信用額度之交易,卓銳保留拒絕接納之權利;然而除非我們已接獲並處理您就取消超額安排所作之要求,否則本公司仍可自行酌情接納該等交易而毋須另行通知。即使您已選擇退出超額安排,個別超逾額度之交易仍有可能被容許入賬(此等每筆交易稱為“獲豁免信用卡交易”)。獲豁免信用卡交易泛指未經本公司即時處理或毋須本公司事先授權即可完成付款之信用卡交易。視乎信用卡種類,獲豁免信用卡交易或包括(但不限於)以下情況:

(i) 透過八達通進行之自動增值交易;

(ii) 以流動裝置或非接觸方式完成之支付交易;

(iii) 已獲批核惟延遲入賬之交易;

(iv) 因外幣兌換等因素而導致入賬金額超逾原交易金額之交易;以及

(v) 經 Visa 或 Master Card Worldwide(如適用)批核之交易,而該等交易可能引致超額。

按本協議之規定,您須就任何超逾信用額度之信用卡交易負上責任。

3. 現金透支及信用卡交易

(a) 倘您提取現金透支,可提取之金額上限為可用信用額度之 90%。

(b) 若透過自動櫃員機提取現金,提取上限將受限於該機器每日之提款限額。

(c) 本公司概不就商戶拒絕接受您的信用卡而承擔任何責任,亦不對商戶所提供貨品或服務的質素負責。您在本協議下對本公司所負之義務,不會因您向商戶提出任何索償而受影響或有所寬免。您與商戶之間如有任何爭議,須自行與商戶解決;至於任何自動轉賬或直接扣賬安排之設立、修改或終止,均須先取得商戶同意方可將款項計入您的信用卡帳戶。若您與商戶就此存在爭議,本公司有權拒絕執行該等安排之設立、修改或終止要求。

4. 信用卡優惠及禮遇

(a) 就不同種類的信用卡,卓銳可能提供不同之優惠及禮遇,並保留隨時在不作事先通知下推出新優惠、更改或撤回任何優惠之權利。本公司亦有權設立、剔除或撤銷任何與卡片優惠掛鈎或連結之帳戶。

(b) 視乎信用卡種類,優惠及禮遇可能包括(但不限於)以下各項:

(i) 流動支付或非接觸式支付功能;

(ii) 各類獎賞及優惠;

(iii) 於指定商戶購物或享用服務時之免息分期計劃;

(iv) 持卡人可於指定自動櫃員機、銷售點終端機或其他指定電子途徑(如適用)進行相關銀行交易;

(v) 本公司或會不時另行知會其他優惠內容。

(c) 個別優惠可能需另行申請方可享用。

信用卡優惠及禮遇之附加條款

(d) 卓銳可隨時就卡片優惠及禮遇單獨頒佈或修訂相關附加條款及細則。

(e) 該等附加條款及細則將訂明有關優惠所適用之資格要求、條件、限制、指引或指示。

(f) 有關優惠之條款及細則可於本公司網站查閱,或向本公司香港辦事處查詢索取。

(g) 倘優惠相關之條款及細則與本協議有任何不一致之處,概以該優惠之條款及細則為准。

5. 信用卡或個人識別碼之遺失、被竊或誤用

(a) 一旦信用卡或個人識別碼發生遺失、被竊、外洩或未經授權使用,您須從速呈報。呈報遺失須經卓銳指定之網上入口進行,並可聯絡本公司客戶服務部以取得進一步協助。

(b) 若您在交易結算日期前已按本協議申報有關未經授權之交易,則有權暫緩繳付該爭議款項。在調查期間,本公司不會就有關爭議金額徵收任何財務費用或利息,亦不會向徵信機構作出對您不利之信貸報告。惟若經本公司善意調查後認定申報並無理據支持,本公司有權就整段爭議期間(包括調查期)重新徵收有關財務費用或利息。本公司經善意調查所得之結論對您具約束力。

您就未經授權交易須承擔之責任

(c) 在卓銳或 MasterCard Worldwide 屬下任何成員(如適用)接獲您有關遺失、被竊、外洩或未經授權使用之報告前,您須就期間因未經授權使用信用卡或個人識別碼而產生之一切現金透支及其他交易負責。

(d) (i) 若您已按第 5 條申報信用卡或個人識別碼遺失、被竊、外洩或遭未經授權使用,您就未經授權交易(現金透支除外)所須承擔之最高責任為每張卡港幣 500 元。

(ii) 惟請留意,上述第 5(d)(i) 條所設之限額並不適用於下列情況(您須就全數金額負責):

(1) 您在知情(不論是否出於自願)之情況下,容許他人使用您的信用卡或個人識別碼;或

(2) 您在使用或保管信用卡或個人識別碼時涉及欺詐或存在嚴重疏忽。倘您未遵循本公司就信用卡或個人識別碼之使用及保管所建議之任何保安措施,有關情況或會被視為嚴重疏忽。

(e) 第 5(d) 條所訂之限額,概不適用於任何現金透支交易。

信用卡之補發

(f) 本公司並無責任為您補發信用卡,惟可酌情作出補發安排。倘進行補發,本公司將收取相應手續費(如適用)。

6. 信用卡月結單

(a) 本公司一般每月會發出信用卡月結單,當中載列與信用卡(包括附屬卡,如適用)有關之下列資料及其他詳情:

(i) 信用卡帳戶項下之未償還總額(“結欠總額”);

(ii) 須清繳所有款項之限期(“到期還款日”)。倘結欠總額屬結餘性質,則上述(i)及(ii)項毋須顯示。

(b) 本公司有權將一切信用卡月結單(包括涉及附屬卡之月結單)一併寄發予主卡持卡人。

(c) 若您在任何月結單內發現未經授權之交易,務須從速通知本公司,通知期限為結單到期日起計 60 天內。逾期未作出通知者,結單所載交易將被視為準確無誤及最終確定,對您具有約束力,並視同您已放棄就該等交易提出異議或尋求補救之任何權利。

7. 付款

(a) 您可經支票、銀行轉賬或其他方式繳付結欠款項,惟須遵守本公司一般條款及細則之規定。

(b) 若您將離港,須妥善安排在離港前清繳信用卡帳戶之款項。任何尚欠款項將按年利率 20% 向卓銳繳付利息,並按日計算。

(c) 倘您帳戶存在未償還款項,本公司將把匯入或存入卡帳戶之款項用以清償現有未償還餘額,清償次序如下:

(i) 卡帳戶所產生之一切費用;

(ii) 卡帳戶項下之消費金額;

(iii) 其餘結餘款項將保留於卡帳戶內。

(d) 在不影響上述第 7(c) 條之效力下,本公司有權按其認為合適之其他次序,將存入或匯入信用卡帳戶之款項用以清償未償還餘額,毋須事先通知您。

(e) 若您以非港元貨幣進行信用卡交易,本公司將於折算為港元後計入您的信用卡帳戶,匯率將參照本公司於兌換當日按 MasterCard Worldwide(如適用)所採用之匯率而定。本公司將就有關交易金額收取一定百分比之手續費,以及 MasterCard Worldwide 就有關交易所徵收之任何費用(全部或部分)一併計入信用卡帳戶。倘您的信用卡屬美元卡,而交易貨幣並非美元,亦將按相同安排處理。

(f) (i) 按本協議規定,一切應付款項(包括信用卡帳戶未償還金額、利息、費用及收費)須全數繳付。您不得從應付予本公司之款項中扣除本公司可能欠您的任何金額。倘適用法律或法規要求就稅項、相關費用或其他原因作出扣減,又或本公司其後須按適用法律或法規將已收取之還款款項退還,您須補足有關差額,以確保本公司按本協議所收取之款項屬全數無缺。

(ii) 您同意,信用卡之終止乃以下列前提為條件:根據任何適用法律或法規,本公司就清繳欠款所收取之款項不會被退回或扣減。倘信用卡終止後,本公司因適用法律或法規須將已收取之還款退回,又或信用卡在本公司未收足全數欠款前已被終止,您(或您的遺產)仍須負責補足有關差額或餘款,確保本公司按本協議收取之款項屬全數,而本公司有權就該差額或餘款向您追討,猶如信用卡從未終止一樣。

(iii) 您在此確認,就本協議項下應付予本公司之任何款項,毋須承擔任何預扣稅款或其他扣減、預扣責任(不論基於稅務或其他原因),而不論根據香港或您所居住任何其他國家之適用法律或法規,一概由您自行負責。應本公司要求,您須從速提供相關證明文件,以證明您已履行有關扣減或預扣責任。您並同意就因未能履行上述義務而引致之一切後果(包括任何當局可能向本公司提出之索償),按要求向本公司作出全數彌償,並豁免本公司之責任。

(iv) 本第 7(f) 條之效力於信用卡終止後仍將持續。

(g) 您同意本公司可按其自行決定之任何方式,退還部分或全部貸方結餘,包括(但不限於)將銀行本票郵寄至您最後提供之通知地址,而毋須事先通知。

(h) 您同意,倘未能清償欠款,本公司可從信用卡帳戶中變現相應金額之抵押品作抵償付款之用。

8. 費用及收費

(a) 倘您於到期還款日前已全數清繳結單餘額,毋須繳付任何財務費用或逾期罰款。結欠款項之繳付範圍涵蓋一切與信用卡交易相關之費用、收費、成本及開支。

(b) 視乎信用卡交易性質及卡片狀況,您最長可享有 56 天之免息還款期。

(c) 財務費用

(i) 若您未能於到期還款日或之前全數清繳結單餘額,本公司可能會徵收財務費用,毋須事先通知,適用情況包括:

(1) 自緊接到期還款日前之結單日期起,就未清償之結欠總額計收利息,直至本公司收妥全數款項為止;以及

(2) 自該結單日期起計入信用卡帳戶之每筆新增交易金額,由交易當日起計至本公司收妥全數款項當日為止。

(ii) 財務費用按日累算,並按月按特定利率計算。本公司有權就未償還之現金透支及未償還之一般消費交易分別設定不同利率。

(d) 逾期費用

倘您未能於到期還款日或之前全數繳付到期應付款項,本公司或會在毋須事先通知之情況下,額外收取有別於財務費用之逾期費用。有關逾期費用將於下一個結單日期計入您的信用卡帳戶。

(e) 其他費用

以下為您須繳付之適用費用;倘您需要額外服務,或須支付其他相應費用。

(i) 超額手續費:倘結欠總額(不含當期計入信用卡帳戶之一切費用及收費)超逾信用額度,本公司將視此情況為您非正式提出調高信用額度之申請。本公司可酌情批准該申請,並可在毋須事先通知下就審批該申請收取手續費;

(ii) 現金透支手續費:每次現金透支,本公司將於透支當日即時徵收相關手續費及費用;

(iii) 自動轉賬拒付手續費:倘自動轉賬安排遭拒付,本公司將視此為您非正式提出特別處理服務之要求,並可就此收取相應手續費,毋須另行通知;

(iv) 補發卡手續費:凡在續卡期前補發之信用卡,均須繳付手續費;

(v) 資料查閱費:就您所要求提供之銷售單據副本,本公司將收取資料檢索費用;

(vi) 年費:本公司可就您的信用卡及任何附屬卡收取或豁免年費;以及

(vii) 外幣交易手續費:就以非港元進行之信用卡交易,本公司有權要求您全數或部分承擔 MasterCard Worldwide(如適用)向本公司收取之交易手續費。

(f) 本公司可隨時調整上述費用及收費,毋須事先通知。

(g) 本公司將直接從您的信用卡帳戶扣取有關費用及收費,該等費用及收費概不獲豁免或退還。

9. 附屬卡

(a) 若您為附屬卡持卡人,須就發給您之附屬卡的使用承擔責任,並受本協議一切條款及細則約束。

(b) 若您為主卡持卡人,則須就主卡以及各張附屬卡之使用一併負責。本公司有權自行酌情向主卡持卡人、附屬卡持卡人或兩者一併追討因使用附屬卡而產生之債務(包括一切費用及收費),此追討權利包括(但不限於)按第 7(h) 條所述方式變現主卡持卡人之抵押品以償還欠款。

10. 協議之終止

由您提出終止

(a) 您可隨時終止信用卡。若欲終止,須向本公司發出書面通知,並將信用卡連同所有附屬卡(如有)一併交還。倘被終止之卡為主卡,則有關終止通知將同時涵蓋主卡及一切附屬卡(如有)。

(b) 附屬卡本身,主卡持卡人或該附屬卡持卡人均可提出終止。提出終止一方須以書面通知本公司,並將該附屬卡交還本公司。

(c) 於交還信用卡前,您應先將卡片剪半處理。

本公司之終止及暫停權利

(d) 本公司有權隨時終止或暫停任何信用卡(不論主卡或附屬卡,如有),毋須事先通知您,亦毋須說明任何原因。

協議終止後,您仍須履行未了之債務責任

(e) 不論基於任何原因終止信用卡,或於您破產或身故後,以下款項須即時到期並全數繳付予本公司:

(i) 信用卡帳戶項下之償還餘額;以及

(ii) 任何已完成惟尚未計入帳戶之卡交易金額。

(f) 即使信用卡已終止,或您已破產或身故,您(或您的遺產)仍須向本公司清繳一切未償還金額,當中包括在信用卡終止、破產或身故前由您設立或授權之定期付款安排下所產生之款項(縱使該等款項是於其後方自帳戶扣除)。本公司有權就任何未償還款項持續徵收財務費用(包括本公司所產生之任何成本及開支),直至全數款項清繳為止。

自動轉賬或其他長期指示

(h) 信用卡之終止,並不會自動終止或轉移您於終止前所設立或授權之任何安排,當中包括自動轉賬安排、直接付款授權、定期付款安排、分期付款計劃及其他長期指示安排,不論該等安排是否適用第 7(h) 條所指定之結算方式。

11. 本公司責任之限制

(a) 本公司概不就下列(或任何)事宜對您或任何第三方承擔責任:

(i) 因提供任何設備、設施或服務而引致之任何延誤、故障或電腦處理錯誤,惟僅限於超乎本公司合理控制範圍之情況所導致或可歸因者;

(ii) 因本公司提供設備、設施或服務,或因未能或延遲提供該等設備、設施或服務而引起或與之有關之任何間接損失。

(b) 若非由本公司之代理人向您提供任何設備、設施或服務,只要本公司於揀選或監督該人員時已盡合理審慎及技巧,本公司概不就該人員之任何行為或疏忽承擔責任。

12. 彌償

(a) 除下文第 12(b) 條另有規定外,您須就因使用本公司向您提供之設備、設施或服務,或與此有關而可能產生之下列事項,向 (i) 本公司、(ii) 本公司之代理及受託人,以及 (iii) 本公司之高級職員、雇員及本公司代理或受託人作出彌償及補償:

(i) 由本公司或他人提出之一切訴訟、法律程序及索償;以及

(ii) 一切損失、損害以及合理費用及開支。本協議終止後,此項彌償責任仍將持續有效。

(b) 倘經證實第 12(a) 條所列之任何行動、訴訟、索償、損失、損害或款項乃因 (i) 本公司、(ii) 本公司之代理或受託人,或 (iii) 本公司高級職員、雇員或本公司代理、受託人之嚴重疏忽或故意違約所致,則您毋須就第 12(a) 條下之責任負責,惟前提為該責任須直接、完全並可合理預見地由該嚴重疏忽或故意違約所引致。

(c) 倘您未能按時繳付任何到期款項,或違反本協議任何條款,本公司可行使權利以追討或收取任何未償還金額,並有權為此聘用代理人或服務供應商。您須就本公司因追討或收回任何未償還金額而合理產生之一切費用(包括法律費用)及開支作出賠償及補償。本公司有權就任何欠款(包括本公司所產生之任何成本及費用)持續徵收財務費用,直至收妥全數款項為止。

(d) 第 7(h) 條之規定適用於您向本公司作出之一切彌償。

13. 抵銷權

(a) 除任何一般抵銷權或根據法律或任何協議所享有之其他權利外,本公司有權於毋須事先通知之情況下,將您卡帳戶之未償還餘額與您於本公司開立之任何其他帳戶結餘作合併處理。倘您為主卡持卡人,本公司此項權利亦延伸至任何附屬卡持卡人信用卡帳戶之未清償餘額。

(b) 儘管本協議另有規定,本公司有權於毋須事先通知之情況下,就您已抵押予本公司之資產進行抵銷或轉讓處理,包括(但不限於)變現由本公司保管之虛擬資產或任何其他類型資產(不論基於何種代價或與任何交易對手進行),作為您(包括主卡及/或附屬卡)之抵押品,以清償您根據本協議對本公司所負之任何或全部債務。

(c) 有鑑於此,倘您未能提供任何虛擬資產及/或其他類型資產作為卓銳授予信用卡之抵押品,本公司將拒絕批核有關信用卡申請。

14. 條款及細則之修訂

本公司有權隨時修訂本協議之條款、利率、財務費用或其他收費。本公司將於切實可行範圍內盡快以適當方式知會您。除非您的信用卡已於變更生效日期前交還本公司並已終止,否則您將受該等變更約束。

15. 資料之收集與披露

(a) 詞彙定義

本第 15 條所用詞彙之涵義如下;若本條所用任何詞彙未於下文另作界定,則採用本協議末段所列之涵義。

機構 指任何本地或外國之司法、行政、公共或監管機構、任何政府部門、任何稅務機關、證券或期貨交易所、法院、中央銀行或執法部門、金融服務業界之自律監管或行業組織或協會,或其任何代理機構,而卓銳須受其部分管轄。

合規義務 指卓銳有責任遵循 (a) 任何法律或國際指引以及內部政策或程序,(b) 任何當局所提出之要求或法律規定之申報、披露或其他義務,以及 (c) 規定卓銳須核實客戶身份之法律。

關聯人士 指您或代表您向卓銳任何成員提供資料(包括個人資料或稅務資料)之個人或實體(您本人除外),或卓銳集團任何成員因提供服務而收取其資料(包括個人資料或稅務資料)之個人或實體。關聯人士可涵蓋任何擔保人、公司董事或高級職員、合夥人或合夥成員、任何“實益擁有人”、“控制人”、信託之受益所有人、受託人、財產授予人或保護人、指定帳戶之持有人、指定付款之收款人、您的代表、代理人或代名人,或與您有關連且與您和卓銳之關係有關之任何其他個人或實體。

控制人 指對某實體行使控制權之個人。就信託而言,此等人士包括委託人、受託人、保護人、受益人或受益人類別,以及對信託行使最終有效控制之任何其他人;至於信託以外之實體,則指處於相同或相若控制地位之人士。

金融犯罪 指洗錢、恐怖主義籌資、賄賂、貪污、逃稅、詐騙、規避經濟或貿易制裁,又或任何規避、違反與上述事項相關法律之行為或企圖。

金融犯罪風險管理活動 指本公司或卓銳集團成員為履行有關偵查、調查及防範金融犯罪之合規義務而採取之任何行動。

法律 涵蓋適用於本公司或卓銳集團成員之任何本地或外國法律、法規、判決或法院命令、自願性守則、制裁機制,以及卓銳任何成員與有關當局之間,或當局相互之間所訂立之協議或條約。

個人資料 指與個人有關且可識辨其身份之任何資料。

服務 涵蓋:(a) 開立、維持、結束及終止您的帳戶或卡片(包括附屬卡);(b) 提供信貸服務及其他產品服務、託管服務、處理申請、進行信貸及資格評估;(c) 維持本公司與您之整體業務關係,包括向您推廣服務或產品、進行市場調查、保險、審計及行政管理事宜。

實益擁有人 指直接或間接有權享有實體逾百分之十利潤,或於實體中持有逾百分之十權益之任何個人。

稅務機關 指香港或海外之稅務、稅收或金融監管機關。

稅務資料 指與您本人或關聯人士之稅務狀況有關之檔案或資料。

您的資料 指與您或您的關聯人士有關之全部或任何以下項目(如適用):(i) 個人資料,(ii) 有關您、您的帳戶、卡片(包括附屬卡)、交易紀錄、使用本公司產品及服務,以及您與卓銳集團關係之資料,及 (iii) 稅務資料。

(b) 資料之收集、使用及分享

本第 15(b) 條旨在闡明本公司將如何運用有關您及關聯人士之資料。適用於您及其他人士之《個人資料(私隱)條例告知通知》(前稱《個人資料(私隱)條例致客戶通知》,下稱“通知”)亦載有本公司及卓銳集團就運用該等資料之重要說明,您應將本條文與該通知一併閱覽。本公司及卓銳集團成員可根據本第 15 條及該通知使用您的資料。您的資料原則上不會被透露予任何人士(包括卓銳集團之其他成員),惟下列情況除外:

• 因應法律規定而須予披露;

• 本公司負有公共責任須作出披露;

• 基於本公司之合法商業目的而須予披露;

• 已取得資料當事人同意作出披露;

• 按本協議第 16 條或該通知之規定作出披露。

收集

(i) 本公司及卓銳集團之其他成員可能收集、使用及分享您的資料。有關資料可能由本公司或代表本公司或卓銳集團要求提供,亦可能直接取自您本人、代表您行事之人士,或其他來源(包括公開途徑取得之資訊),並可能與本公司或卓銳任何成員所持有之其他資料一併生成或整合。

使用

(ii) 本公司及卓銳集團成員可就下列目的使用、轉移及披露您的資料:(1) 與本第 15 條所列之目的有關;(2) 該通知所列之目的(適用於個人資料);(3) 與本公司或卓銳集團因任何目的而持有之任何資料進行配對有關(不論是否旨在對您採取任何不利之行動)(上述(1)至(3)統稱“該等目的”)。

分享

(iii) 在必要及適當之情況下,本公司可將您之任何資料轉移或披露予該通知所列之接收方(而彼等亦可就上述目的使用、轉移及披露有關資料)。

您須履行之義務

(iv) 您同意,倘提供予本公司或卓銳成員之資料出現任何變更,須立即以書面方式通知本公司,並須及時回應本公司或卓銳成員就您的資料所提出之任何要求。

(v) 您確認,凡已(或將會)提供予本公司或卓銳集團成員公司之個人資料(包括個人資料或稅務資料),每名相關關聯人士均已獲(或將於適當時間獲)知會,並同意本第 16 條及該通知(本公司可不時修訂或補充)有關其資料處理、披露及轉移之規定。您應告知有關關聯人士,彼等有權查閱及更正本身之個人資料。

(vi) 您同意採取任何適用之資料保護法或保密法所要求之步驟,以容許本公司按本協議所述方式使用、儲存、披露、處理及傳送您的一切資料。倘您在任何方面未能遵守第(v)及(vi)項所訂之義務,您同意須立即以書面方式通知本公司。

(vii) 倘出現下列任一情況:

• 您或任何關聯人士未能按本公司合理要求及時提供有關資料;或

• 您或任何關聯人士拒絕或撤回本公司就上述目的處理、轉移或披露有關資料所需之任何同意(惟與向您推廣或宣傳產品及服務有關之目的除外);或

• 本公司或卓銳集團成員懷疑涉及金融犯罪或相關風險,本公司可以:

(A) 拒絕向您提供新服務,或無法繼續提供全部或部分現有服務,並保留終止與您業務關係之權利;

(B) 採取一切必要行動,確保本公司或卓銳集團成員履行合規義務;以及

(C) 在當地法律容許之情況下,凍結、轉讓、結束或終止您的帳戶或卡片(包括附屬卡)。

此外,倘您未能按要求及時提供本人或關聯人士之稅務資料,連同相關聲明、棄權書及同意書,本公司或會自行判斷您或關聯人士之狀況(包括是否須向稅務機關申報),並可能須依法向有關稅務機關預扣及繳付相應款項。

(c) 金融犯罪風險管理

(i) 金融犯罪風險管理活動可能涵蓋:(A) 篩選、截停及審查由您或代表您發出之任何指示、通訊、提款要求、服務申請或付款;(B) 查核資金來源或預定收款人身份;(C) 將您的資料與卓銳集團所掌握之其他相關資料互相結合;(D) 進一步核實個人或實體之狀況,包括是否受制裁措施約束,或核實您或關聯人士之身份。

(ii) 本公司及卓銳集團所進行之金融犯罪風險管理活動,或會導致付款延誤、受阻或遭拒,又或指示、服務申請之處理或全部或部分服務之提供受到影響。在法律容許範圍內,本公司或卓銳集團任何成員概不就您或任何第三方因該等風險管理活動而蒙受或招致之全部或部分損失(不論起因為何)負上任何責任。

(d) 稅務合規

您確認並承諾,將自行全權負責瞭解及遵守閣下於所有司法管轄區之稅務責任,以及與開立、使用本公司或卓銳成員所提供之帳戶或服務有關之納稅義務(包括須繳稅、遞交報稅表或繳付相關稅款所需之其他文件)。凡以關聯人士身份行事者,亦須就本身情況作出相同確認。個別國家或地區之稅務法律或具域外效力,不論關聯人士或您本身之居籍、居住地、國籍或註冊地為何。本公司或卓銳集團任何成員概不提供稅務意見,建議您就此徵詢獨立法律及稅務意見。本公司或卓銳集團任何成員概不就您於任何司法管轄區可能產生之稅務責任負責,當中包括與本公司或卓銳成員所提供之帳戶、卡片(包括附屬卡)及服務之開立與使用具體相關之稅務事宜。

(e) 其他事項

(i) 倘本第 15 條之任何條文與您和本公司之間任何其他服務、產品、業務關係、帳戶或協議中之規定有所抵觸或不一致,概以本第 15 條為准。

(ii) 若按任何司法管轄區之法律,本第 15 條全部或部分規定於任何方面被裁定為非法、無效或不可強制執行,則不影響或損害該條文於其他司法管轄區之合法性、有效性或可執行性,亦不影響本第 15 條其餘部分於有關司法管轄區之合法性、有效性或可執行性。

(f) 終止後之持續效力

即使本公司或卓銳集團成員終止向您提供任何服務、結束您的任何帳戶,或終止您的任何卡片(包括所有附屬卡),本第 15 條之規定仍將持續適用。

16. 一般事項

(a) 信用卡之擁有權始終歸屬本公司,您須按卓銳之要求隨時交還。

(b) 若您的工作或聯絡方式(包括地址、電話號碼、電郵地址及傳真號碼)有所變更,須立即通知本公司,而有關通知須以本公司指定並接納之方式發出。

(c) 於提供服務過程中,本公司可能會就您的口頭指示及雙方之間之其他口頭溝通進行紀錄。

(d) 本公司有權於將您信用卡帳戶相關檔案壓縮或掃描後,將原有實體文件銷毀。

向您發出之通知

(e) 除非本公司另有說明,否則您將被視為已收悉本公司發出之任何通知,其送達時間如下:

(i) 若以專人送遞方式發出,則於送達您最後提供之地址時視為送達;

(ii) 若上述地址位於香港境內,則於寄出後 48 小時視為已送達;若地址位於香港境外,則以郵遞方式寄出後 7 天視為已送達;

(iii) 若以電郵發出,則發送至您最後提供之電郵地址後即視為已送達;或

(iv) 若以手機短訊發出,則發送至您最後提供之手機號碼後即視為已送達。

賭博及其他非法交易

(f) 您不得使用信用卡繳付任何賭博款項,或任何按適用法律屬非法之交易款項。倘本公司懷疑、相信或知悉任何卡片交易涉及或關連賭博或其他非法活動,本公司有權 (i) 拒絕處理或支付該筆交易,或 (ii) 撤銷、取消或拒付該筆交易。

第三方之權利

(g) 按照《合約(第三者權利)條例》規定,除您與本公司外,任何第三方均無權強制執行本協議任何條款,或就本協議任何條款享有任何利益。

適用法律、司法管轄及版本效力

(h) 本協議受香港法律所管轄,並須按香港法律解釋。

(i) 您接受香港法院之非專屬司法管轄權。

(j) 本協議如中、英文版本之間出現任何歧義,概以英文版本為准,任何中文版本僅供參閱之用。

詞彙定義

附屬卡持卡人 指本公司向其發出附屬卡之任何人士。

協議 指本《信用卡持卡人協議》,並包括本公司不時作出之任何修訂。

適用法規 指任何法律、法規或法院命令,又或由任何機構、行業組織或自律機構所頒佈之任何規則、指示、指引、守則、通知或限制(不論是否具法律約束力),不論適用範圍是否僅限於香港,只要對本公司或您具約束力,又或本公司或您須不時遵守者。

ATM 指自動櫃員機。

機構 指任何監管機構、政府部門(包括稅務機關)、結算或交收銀行或交易所。

信用卡 指本公司不時發行之任何信用卡。

卡帳戶 指為紀錄卡片交易及其他相關事項而就卡片開設之帳戶。

卡交易 指使用您的卡片或密碼所進行之每筆交易(包括現金透支)。

現金透支 指從信用卡帳戶提取現金,包括提取帳戶內之任何款項。

香港 指中華人民共和國香港特別行政區。

卓銳集團 指卓銳信貸服務有限公司,及其附屬公司、子公司、關聯機構,以及其任何分行、辦事處(不論單獨或共同行事),而“卓銳成員”一詞具相同涵義。

關聯帳戶 之定義請參閱第 4(e) 條。

中國大陸 指中華人民共和國,惟不包括中華人民共和國香港特別行政區及澳門特別行政區。

最低到期還款額 之定義請參閱第 6(a) 條。

到期還款日 之定義請參閱第 6(a) 條。

個人識別碼 指任何代碼或數字組合,供您於使用卡片或其他服務(如適用)以獲取資訊、發出指示或進行交易時,用以核實身份之用。

結欠總額 之定義請參閱第 6(a) 條。

您或您的 指本公司向其發出卡片(不論主卡或附屬卡)之人士。

本協議自 2026 年 月 日起生效

信用卡持卡人协议

本协议适用于卓锐信贷服务有限公司(下称“卓锐”、“本公司”或“我们”;注册地址:香港尖沙咀 Mira Place A 座 23 楼 01 室)及/或其法定继承人和受让人不时发行或营运的各类 ZR Pay 信用卡(统称“信用卡”或“卡片”),亦适用于卓锐及/或其附属公司、子公司、关联机构,以及任何分行、办事处(不论单独或共同行事)所提供的相关服务。

按照香港法例第 163 章《放债人条例》,发行信用卡属获豁免的贷款业务。

持卡人于使用信用卡前务须细阅本协议全文。一旦您使用信用卡(包括获批及启用该卡),即视为您已阅读、明白并同意遵守适用于该卡的本协议所有条款。卓锐有权就信用卡不时另行订立补充条款及细则,而有关补充条款未必会个别通知您。倘本协议与其他补充条款及细则之间出现任何抵触,概以本协议条文为准。本协议所采用之词汇定义载于文末。

1. 持卡人的责任

持卡人明白并确认,信用卡乃根据持卡人所提供资料属真实、完整及准确为前提而获发放。

(a) 持卡人须就信用卡帐户及一切信用卡交易(连同有关费用及收费)承担责任,即使出现以下情形亦然:

(i) 该笔交易并无您的签署销售单据作实(包括透过电话、邮递、电子途径或直接扣账方式而毋须销售单据或签名即完成之交易),又或销售单据上的签署与信用卡上的签署有所出入;

(ii) 该笔信用卡交易乃在非您自愿的情况下产生。纵使信用卡或本协议其后被终止,您的责任亦不会因而免除。

(b) 持卡人不可将信用卡或个人识别码交予他人使用或转让,亦不得容许任何第三者动用您的信用卡或个人识别码。

(c) 持卡人须采取合理的保安措施,当中包括:

i. 一经收到信用卡,应立即于卡上签署;

ii. 将信用卡妥善存放于安全地方,并置于本人保管及控制之下,视作现金般看待;

iii. 将信用卡号码另行记录于安全地方,并与信用卡本身分开存放;

iv. 每次于自动柜员机使用后,紧记取回信用卡;

v. 每次交易完成后,确保信用卡已及时交还给您;

vi. 收到个人识别码通知后应尽快牢记密码,并随即销毁该通知文件;

vii. 输入个人识别码时,务须提防被他人窥看;

viii. 应不时更改个人识别码;

ix. 一旦怀疑个人识别码已为他人获悉,应立刻更改;

x. 切勿将个人识别码书写于信用卡上,或与信用卡放于同一位置,任何密码纪录均应妥为掩藏;

xi. 避免采用易被推测的数字组合作个人识别码(例如身份证号码、出生日期、电话号码或其他容易获取的个人资料);

xii. 不应将同一组密码重复用于其他服务或场合;

xiii. 填写销售单据的“总额”栏时,须于数字前加上货币符号,并不可留有空白书写位置;

xiv. 每笔交易应仅列印一份销售单据;

xv. 保留每次交易的销售单据副本,以便日后与信用卡月结单核对。

(d) 倘信用卡或个人识别码发生遗失、被窃、外泄或遭未经授权使用,您须按第 5 条之规定尽快作出报告。

(e) 若您身为主卡持卡人,须确保各附属卡持卡人妥善依照本协议使用及处理其信用卡及相关事务。请注意,即使主卡持卡人未有享用某些服务或优惠,附属卡持卡人仍有可能获享有关服务或优惠;您须确保附属卡持卡人于使用该等服务或优惠(如适用)时,同样遵守本协议及相关条款。

2. 信用额度之设定与检讨

(a) 您的信用卡设有适用于一般消费及现金透支之信用额度。有关详情请参阅信用卡月结单及/或卓锐所发出之通知。您有责任确保信用卡使用不超出既定的信用额度。

(b) 卓锐将不时厘定及检视您的信用额度。视乎情况所需,我们或会随时就您的信用卡调整不同的信用额度,并根据评估结果对额度作出调升或调减,而毋须事先通知您,包括在无提前通知下调低额度。信用额度之厘定乃基于对阁下卡帐户相关信贷风险(涵盖支出及还款模式)之定期评估,以及您于申请时提交之抵押品种类与价值(参阅第13(c)条)。您可随时向本公司提出调整信用额度之申请。

(c) 信用卡之信用额度概以港币计算。

(d) 对于超逾信用额度之交易,卓锐保留拒绝接纳之权利;然而除非我们已接获并处理您就取消超额安排所作之要求,否则本公司仍可自行酌情接纳该等交易而毋须另行通知。即使您已选择退出超额安排,个别超逾额度之交易仍有可能被容许入账(此等每笔交易称为“获豁免信用卡交易”)。获豁免信用卡交易泛指未经本公司即时处理或毋须本公司事先授权即可完成付款之信用卡交易。视乎信用卡种类,获豁免信用卡交易或包括(但不限于)以下情况:

(i) 透过八达通进行之自动增值交易;

(ii) 以流动装置或非接触方式完成之支付交易;

(iii) 已获批核惟延迟入账之交易;

(iv) 因外币兑换等因素而导致入账金额超逾原交易金额之交易;以及

(v) 经 Visa 或 Master Card Worldwide(如适用)批核之交易,而该等交易可能引致超额。

按本协议之规定,您须就任何超逾信用额度之信用卡交易负上责任。

3. 现金透支及信用卡交易

(a) 倘您提取现金透支,可提取之金额上限为可用信用额度之 90%。

(b) 若透过自动柜员机提取现金,提取上限将受限于该机器每日之提款限额。

(c) 本公司概不就商户拒绝接受您的信用卡而承担任何责任,亦不对商户所提供货品或服务的质素负责。您在本协议下对本公司所负之义务,不会因您向商户提出任何索偿而受影响或有所宽免。您与商户之间如有任何争议,须自行与商户解决;至于任何自动转账或直接扣账安排之设立、修改或终止,均须先取得商户同意方可将款项计入您的信用卡帐户。若您与商户就此存在争议,本公司有权拒绝执行该等安排之设立、修改或终止要求。

4. 信用卡优惠及礼遇

(a) 就不同种类的信用卡,卓锐可能提供不同之优惠及礼遇,并保留随时在不作事先通知下推出新优惠、更改或撤回任何优惠之权利。本公司亦有权设立、剔除或撤销任何与卡片优惠挂钩或连结之帐户。

(b) 视乎信用卡种类,优惠及礼遇可能包括(但不限于)以下各项:

(i) 流动支付或非接触式支付功能;

(ii) 各类奖赏及优惠;

(iii) 于指定商户购物或享用服务时之免息分期计划;

(iv) 持卡人可于指定自动柜员机、销售点终端机或其他指定电子途径(如适用)进行相关银行交易;

(v) 本公司或会不时另行知会其他优惠内容。

(c) 个别优惠可能需另行申请方可享用。

信用卡优惠及礼遇之附加条款

(d) 卓锐可随时就卡片优惠及礼遇单独颁布或修订相关附加条款及细则。

(e) 该等附加条款及细则将订明有关优惠所适用之资格要求、条件、限制、指引或指示。

(f) 有关优惠之条款及细则可于本公司网站查阅,或向本公司香港办事处查询索取。

(g) 倘优惠相关之条款及细则与本协议有任何不一致之处,概以该优惠之条款及细则为准。

5. 信用卡或个人识别码之遗失、被窃或误用

(a) 一旦信用卡或个人识别码发生遗失、被窃、外泄或未经授权使用,您须从速呈报。呈报遗失须经卓锐指定之网上入口进行,并可联络本公司客户服务部以取得进一步协助。

(b) 若您在交易结算日期前已按本协议申报有关未经授权之交易,则有权暂缓缴付该争议款项。在调查期间,本公司不会就有关争议金额征收任何财务费用或利息,亦不会向征信机构作出对您不利之信贷报告。惟若经本公司善意调查后认定申报并无理据支持,本公司有权就整段争议期间(包括调查期)重新征收有关财务费用或利息。本公司经善意调查所得之结论对您具约束力。

您就未经授权交易须承担之责任

(c) 在卓锐或 MasterCard Worldwide 属下任何成员(如适用)接获您有关遗失、被窃、外泄或未经授权使用之报告前,您须就期间因未经授权使用信用卡或个人识别码而产生之一切现金透支及其他交易负责。

(d) (i) 若您已按第 5 条申报信用卡或个人识别码遗失、被窃、外泄或遭未经授权使用,您就未经授权交易(现金透支除外)所须承担之最高责任为每张卡港币 500 元。

(ii) 惟请留意,上述第 5(d)(i) 条所设之限额并不适用于下列情况(您须就全数金额负责):

(1) 您在知情(不论是否出于自愿)之情况下,容许他人使用您的信用卡或个人识别码;或

(2) 您在使用或保管信用卡或个人识别码时涉及欺诈或存在严重疏忽。倘您未遵循本公司就信用卡或个人识别码之使用及保管所建议之任何保安措施,有关情况或会被视为严重疏忽。

(e) 第 5(d) 条所订之限额,概不适用于任何现金透支交易。

信用卡之补发

(f) 本公司并无责任为您补发信用卡,惟可酌情作出补发安排。倘进行补发,本公司将收取相应手续费(如适用)。

6. 信用卡月结单

(a) 本公司一般每月会发出信用卡月结单,当中载列与信用卡(包括附属卡,如适用)有关之下列资料及其他详情:

(i) 信用卡帐户项下之未偿还总额(“结欠总额”);

(ii) 须清缴所有款项之限期(“到期还款日”)。倘结欠总额属结余性质,则上述(i)及(ii)项毋须显示。

(b) 本公司有权将一切信用卡月结单(包括涉及附属卡之月结单)一并寄发予主卡持卡人。

(c) 若您在任何月结单内发现未经授权之交易,务须从速通知本公司,通知期限为结单到期日起计 60 天内。逾期未作出通知者,结单所载交易将被视为准确无误及最终确定,对您具有约束力,并视同您已放弃就该等交易提出异议或寻求补救之任何权利。

7. 付款

(a) 您可经支票、银行转账或其他方式缴付结欠款项,惟须遵守本公司一般条款及细则之规定。

(b) 若您将离港,须妥善安排在离港前清缴信用卡帐户之款项。任何尚欠款项将按年利率 20% 向卓锐缴付利息,并按日计算。

(c) 倘您帐户存在未偿还款项,本公司将把汇入或存入卡帐户之款项用以清偿现有未偿还余额,清偿次序如下:

(i) 卡帐户所产生之一切费用;

(ii) 卡帐户项下之消费金额;

(iii) 其余结余款项将保留于卡帐户内。

(d) 在不影响上述第 7(c) 条之效力下,本公司有权按其认为合适之其他次序,将存入或汇入信用卡帐户之款项用以清偿未偿还余额,毋须事先通知您。

(e) 若您以非港元货币进行信用卡交易,本公司将于折算为港元后计入您的信用卡帐户,汇率将参照本公司于兑换当日按 MasterCard Worldwide(如适用)所采用之汇率而定。本公司将就有关交易金额收取一定百分比之手续费,以及 MasterCard Worldwide 就有关交易所征收之任何费用(全部或部分)一并计入信用卡帐户。倘您的信用卡属美元卡,而交易货币并非美元,亦将按相同安排处理。

(f) (i) 按本协议规定,一切应付款项(包括信用卡帐户未偿还金额、利息、费用及收费)须全数缴付。您不得从应付予本公司之款项中扣除本公司可能欠您的任何金额。倘适用法律或法规要求就税项、相关费用或其他原因作出扣减,又或本公司其后须按适用法律或法规将已收取之还款款项退还,您须补足有关差额,以确保本公司按本协议所收取之款项属全数无缺。

(ii) 您同意,信用卡之终止乃以下列前提为条件:根据任何适用法律或法规,本公司就清缴欠款所收取之款项不会被退回或扣减。倘信用卡终止后,本公司因适用法律或法规须将已收取之还款退回,又或信用卡在本公司未收足全数欠款前已被终止,您(或您的遗产)仍须负责补足有关差额或余款,确保本公司按本协议收取之款项属全数,而本公司有权就该差额或余款向您追讨,犹如信用卡从未终止一样。

(iii) 您在此确认,就本协议项下应付予本公司之任何款项,毋须承担任何预扣税款或其他扣减、预扣责任(不论基于税务或其他原因),而不论根据香港或您所居住任何其他国家之适用法律或法规,一概由您自行负责。应本公司要求,您须从速提供相关证明文件,以证明您已履行有关扣减或预扣责任。您并同意就因未能履行上述义务而引致之一切后果(包括任何当局可能向本公司提出之索偿),按要求向本公司作出全数弥偿,并豁免本公司之责任。

(iv) 本第 7(f) 条之效力于信用卡终止后仍将持续。

(g) 您同意本公司可按其自行决定之任何方式,退还部分或全部贷方结余,包括(但不限于)将银行本票邮寄至您最后提供之通知地址,而毋须事先通知。

(h) 您同意,倘未能清偿欠款,本公司可从信用卡帐户中变现相应金额之抵押品作抵偿付款之用。

8. 费用及收费

(a) 倘您于到期还款日前已全数清缴结单余额,毋须缴付任何财务费用或逾期罚款。结欠款项之缴付范围涵盖一切与信用卡交易相关之费用、收费、成本及开支。

(b) 视乎信用卡交易性质及卡片状况,您最长可享有 56 天之免息还款期。

(c) 财务费用

(i) 若您未能于到期还款日或之前全数清缴结单余额,本公司可能会征收财务费用,毋须事先通知,适用情况包括:

(1) 自紧接到期还款日前之结单日期起,就未清偿之结欠总额计收利息,直至本公司收妥全数款项为止;以及

(2) 自该结单日期起计入信用卡帐户之每笔新增交易金额,由交易当日起计至本公司收妥全数款项当日为止。

(ii) 财务费用按日累算,并按月按特定利率计算。本公司有权就未偿还之现金透支及未偿还之一般消费交易分别设定不同利率。

(d) 逾期费用

倘您未能于到期还款日或之前全数缴付到期应付款项,本公司或会在毋须事先通知之情况下,额外收取有别于财务费用之逾期费用。有关逾期费用将于下一个结单日期计入您的信用卡帐户。

(e) 其他费用

以下为您须缴付之适用费用;倘您需要额外服务,或须支付其他相应费用。

(i) 超额手续费:倘结欠总额(不含当期计入信用卡帐户之一切费用及收费)超逾信用额度,本公司将视此情况为您非正式提出调高信用额度之申请。本公司可酌情批准该申请,并可在毋须事先通知下就审批该申请收取手续费;

(ii) 现金透支手续费:每次现金透支,本公司将于透支当日即时征收相关手续费及费用;

(iii) 自动转账拒付手续费:倘自动转账安排遭拒付,本公司将视此为您非正式提出特别处理服务之要求,并可就此收取相应手续费,毋须另行通知;

(iv) 补发卡手续费:凡在续卡期前补发之信用卡,均须缴付手续费;

(v) 资料查阅费:就您所要求提供之销售单据副本,本公司将收取资料检索费用;

(vi) 年费:本公司可就您的信用卡及任何附属卡收取或豁免年费;以及

(vii) 外币交易手续费:就以非港元进行之信用卡交易,本公司有权要求您全数或部分承担 MasterCard Worldwide(如适用)向本公司收取之交易手续费。

(f) 本公司可随时调整上述费用及收费,毋须事先通知。

(g) 本公司将直接从您的信用卡帐户扣取有关费用及收费,该等费用及收费概不获豁免或退还。

9. 附属卡

(a) 若您为附属卡持卡人,须就发给您之附属卡的使用承担责任,并受本协议一切条款及细则约束。

(b) 若您为主卡持卡人,则须就主卡以及各张附属卡之使用一并负责。本公司有权自行酌情向主卡持卡人、附属卡持卡人或两者一并追讨因使用附属卡而产生之债务(包括一切费用及收费),此追讨权利包括(但不限于)按第 7(h) 条所述方式变现主卡持卡人之抵押品以偿还欠款。

10. 协议之终止

由您提出终止

(a) 您可随时终止信用卡。若欲终止,须向本公司发出书面通知,并将信用卡连同所有附属卡(如有)一并交还。倘被终止之卡为主卡,则有关终止通知将同时涵盖主卡及一切附属卡(如有)。

(b) 附属卡本身,主卡持卡人或该附属卡持卡人均可提出终止。提出终止一方须以书面通知本公司,并将该附属卡交还本公司。

(c) 于交还信用卡前,您应先将卡片剪半处理。

本公司之终止及暂停权利

(d) 本公司有权随时终止或暂停任何信用卡(不论主卡或附属卡,如有),毋须事先通知您,亦毋须说明任何原因。

协议终止后,您仍须履行未了之债务责任

(e) 不论基于任何原因终止信用卡,或于您破产或身故后,以下款项须即时到期并全数缴付予本公司:

(i) 信用卡帐户项下之偿还余额;以及

(ii) 任何已完成惟尚未计入帐户之卡交易金额。

(f) 即使信用卡已终止,或您已破产或身故,您(或您的遗产)仍须向本公司清缴一切未偿还金额,当中包括在信用卡终止、破产或身故前由您设立或授权之定期付款安排下所产生之款项(纵使该等款项是于其后方自帐户扣除)。本公司有权就任何未偿还款项持续征收财务费用(包括本公司所产生之任何成本及开支),直至全数款项清缴为止。

自动转账或其他长期指示

(h) 信用卡之终止,并不会自动终止或转移您于终止前所设立或授权之任何安排,当中包括自动转账安排、直接付款授权、定期付款安排、分期付款计划及其他长期指示安排,不论该等安排是否适用第 7(h) 条所指定之结算方式。

11. 本公司责任之限制

(a) 本公司概不就下列(或任何)事宜对您或任何第三方承担责任:

(i) 因提供任何设备、设施或服务而引致之任何延误、故障或电脑处理错误,惟仅限于超乎本公司合理控制范围之情况所导致或可归因者;

(ii) 因本公司提供设备、设施或服务,或因未能或延迟提供该等设备、设施或服务而引起或与之有关之任何间接损失。

(b) 若非由本公司之代理人向您提供任何设备、设施或服务,只要本公司于拣选或监督该人员时已尽合理审慎及技巧,本公司概不就该人员之任何行为或疏忽承担责任。

12. 弥偿

(a) 除下文第 12(b) 条另有规定外,您须就因使用本公司向您提供之设备、设施或服务,或与此有关而可能产生之下列事项,向 (i) 本公司、(ii) 本公司之代理及受托人,以及 (iii) 本公司之高级职员、雇员及本公司代理或受托人作出弥偿及补偿:

(i) 由本公司或他人提出之一切诉讼、法律程序及索偿;以及

(ii) 一切损失、损害以及合理费用及开支。本协议终止后,此项弥偿责任仍将持续有效。

(b) 倘经证实第 12(a) 条所列之任何行动、诉讼、索偿、损失、损害或款项乃因 (i) 本公司、(ii) 本公司之代理或受托人,或 (iii) 本公司高级职员、雇员或本公司代理、受托人之严重疏忽或故意违约所致,则您毋须就第 12(a) 条下之责任负责,惟前提为该责任须直接、完全并可合理预见地由该严重疏忽或故意违约所引致。

(c) 倘您未能按时缴付任何到期款项,或违反本协议任何条款,本公司可行使权利以追讨或收取任何未偿还金额,并有权为此聘用代理人或服务供应商。您须就本公司因追讨或收回任何未偿还金额而合理产生之一切费用(包括法律费用)及开支作出赔偿及补偿。本公司有权就任何欠款(包括本公司所产生之任何成本及费用)持续征收财务费用,直至收妥全数款项为止。

(d) 第 7(h) 条之规定适用于您向本公司作出之一切弥偿。

13. 抵销权

(a) 除任何一般抵销权或根据法律或任何协议所享有之其他权利外,本公司有权于毋须事先通知之情况下,将您卡帐户之未偿还余额与您于本公司开立之任何其他帐户结余作合并处理。倘您为主卡持卡人,本公司此项权利亦延伸至任何附属卡持卡人信用卡帐户之未清偿余额。

(b) 尽管本协议另有规定,本公司有权于毋须事先通知之情况下,就您已抵押予本公司之资产进行抵销或转让处理,包括(但不限于)变现由本公司保管之虚拟资产或任何其他类型资产(不论基于何种代价或与任何交易对手进行),作为您(包括主卡及/或附属卡)之抵押品,以清偿您根据本协议对本公司所负之任何或全部债务。

(c) 有鉴于此,倘您未能提供任何虚拟资产及/或其他类型资产作为卓锐授予信用卡之抵押品,本公司将拒绝批核有关信用卡申请。

14. 条款及细则之修订

本公司有权随时修订本协议之条款、利率、财务费用或其他收费。本公司将于切实可行范围内尽快以适当方式知会您。除非您的信用卡已于变更生效日期前交还本公司并已终止,否则您将受该等变更约束。

15. 资料之收集与披露

(a) 词汇定义

本第 15 条所用词汇之涵义如下;若本条所用任何词汇未于下文另作界定,则采用本协议末段所列之涵义。

机构 指任何本地或外国之司法、行政、公共或监管机构、任何政府部门、任何税务机关、证券或期货交易所、法院、中央银行或执法部门、金融服务业界之自律监管或行业组织或协会,或其任何代理机构,而卓锐须受其部分管辖。

合规义务 指卓锐有责任遵循 (a) 任何法律或国际指引以及内部政策或程序,(b) 任何当局所提出之要求或法律规定之申报、披露或其他义务,以及 (c) 规定卓锐须核实客户身份之法律。

关联人士 指您或代表您向卓锐任何成员提供资料(包括个人资料或税务资料)之个人或实体(您本人除外),或卓锐集团任何成员因提供服务而收取其资料(包括个人资料或税务资料)之个人或实体。关联人士可涵盖任何担保人、公司董事或高级职员、合伙人或合伙成员、任何“实益拥有人”、“控制人”、信托之受益所有人、受托人、财产授予人或保护人、指定帐户之持有人、指定付款之收款人、您的代表、代理人或代名人,或与您有关连且与您和卓锐之关系有关之任何其他个人或实体。

控制人 指对某实体行使控制权之个人。就信托而言,此等人士包括委托人、受托人、保护人、受益人或受益人类别,以及对信托行使最终有效控制之任何其他人;至于信托以外之实体,则指处于相同或相若控制地位之人士。

• 因应法律规定而须予披露;

• 本公司负有公共责任须作出披露;

• 基于本公司之合法商业目的而须予披露;

• 已取得资料当事人同意作出披露;

• 按本协议第 16 条或该通知之规定作出披露。

收集

(i) 本公司及卓锐集团之其他成员可能收集、使用及分享您的资料。有关资料可能由本公司或代表本公司或卓锐集团要求提供,亦可能直接取自您本人、代表您行事之人士,或其他来源(包括公开途径取得之资讯),并可能与本公司或卓锐任何成员所持有之其他资料一并生成或整合。

使用

(ii) 本公司及卓锐集团成员可就下列目的使用、转移及披露您的资料:(1) 与本第 15 条所列之目的有关;(2) 该通知所列之目的(适用于个人资料);(3) 与本公司或卓锐集团因任何目的而持有之任何资料进行配对有关(不论是否旨在对您采取任何不利之行动)(上述(1)至(3)统称“该等目的”)。

分享

(iii) 在必要及适当之情况下,本公司可将您之任何资料转移或披露予该通知所列之接收方(而彼等亦可就上述目的使用、转移及披露有关资料)。

您须履行之义务

(iv) 您同意,倘提供予本公司或卓锐成员之资料出现任何变更,须立即以书面方式通知本公司,并须及时回应本公司或卓锐成员就您的资料所提出之任何要求。

(v) 您确认,凡已(或将会)提供予本公司或卓锐集团成员公司之个人资料(包括个人资料或税务资料),每名相关关联人士均已获(或将于适当时间获)知会,并同意本第 16 条及该通知(本公司可不时修订或补充)有关其资料处理、披露及转移之规定。您应告知有关关联人士,彼等有权查阅及更正本身之个人资料。

(vi) 您同意采取任何适用之资料保护法或保密法所要求之步骤,以容许本公司按本协议所述方式使用、储存、披露、处理及传送您的一切资料。倘您在任何方面未能遵守第(v)及(vi)项所订之义务,您同意须立即以书面方式通知本公司。

(vii) 倘出现下列任一情况:

• 您或任何关联人士未能按本公司合理要求及时提供有关资料;或

• 您或任何关联人士拒绝或撤回本公司就上述目的处理、转移或披露有关资料所需之任何同意(惟与向您推广或宣传产品及服务有关之目的除外);或

• 本公司或卓锐集团成员怀疑涉及金融犯罪或相关风险,本公司可以:

(A) 拒绝向您提供新服务,或无法继续提供全部或部分现有服务,并保留终止与您业务关系之权利;

(B) 采取一切必要行动,确保本公司或卓锐集团成员履行合规义务;以及

(C) 在当地法律容许之情况下,冻结、转让、结束或终止您的帐户或卡片(包括附属卡)。

此外,倘您未能按要求及时提供本人或关联人士之税务资料,连同相关声明、弃权书及同意书,本公司或会自行判断您或关联人士之状况(包括是否须向税务机关申报),并可能须依法向有关税务机关预扣及缴付相应款项。

(c) 金融犯罪风险管理

(i) 金融犯罪风险管理活动可能涵盖:(A) 筛选、截停及审查由您或代表您发出之任何指示、通讯、提款要求、服务申请或付款;(B) 查核资金来源或预定收款人身份;(C) 将您的资料与卓锐集团所掌握之其他相关资料互相结合;(D) 进一步核实个人或实体之状况,包括是否受制裁措施约束,或核实您或关联人士之身份。

(ii) 本公司及卓锐集团所进行之金融犯罪风险管理活动,或会导致付款延误、受阻或遭拒,又或指示、服务申请之处理或全部或部分服务之提供受到影响。在法律容许范围内,本公司或卓锐集团任何成员概不就您或任何第三方因该等风险管理活动而蒙受或招致之全部或部分损失(不论起因为何)负上任何责任。

(d) 税务合规

您确认并承诺,将自行全权负责了解及遵守阁下于所有司法管辖区之税务责任,以及与开立、使用本公司或卓锐成员所提供之帐户或服务有关之纳税义务(包括须缴税、递交报税表或缴付相关税款所需之其他文件)。凡以关联人士身份行事者,亦须就本身情况作出相同确认。个别国家或地区之税务法律或具域外效力,不论关联人士或您本身之居籍、居住地、国籍或注册地为何。本公司或卓锐集团任何成员概不提供税务意见,建议您就此征询独立法律及税务意见。本公司或卓锐集团任何成员概不就您于任何司法管辖区可能产生之税务责任负责,当中包括与本公司或卓锐成员所提供之帐户、卡片(包括附属卡)及服务之开立与使用具体相关之税务事宜。

(e) 其他事项

(i) 倘本第 15 条之任何条文与您和本公司之间任何其他服务、产品、业务关系、帐户或协议中之规定有所抵触或不一致,概以本第 15 条为准。

(ii) 若按任何司法管辖区之法律,本第 15 条全部或部分规定于任何方面被裁定为非法、无效或不可强制执行,则不影响或损害该条文于其他司法管辖区之合法性、有效性或可执行性,亦不影响本第 15 条其余部分于有关司法管辖区之合法性、有效性或可执行性。

(f) 终止后之持续效力

即使本公司或卓锐集团成员终止向您提供任何服务、结束您的任何帐户,或终止您的任何卡片(包括所有附属卡),本第 15 条之规定仍将持续适用。

16. 一般事项

(a) 信用卡之拥有权始终归属本公司,您须按卓锐之要求随时交还。

(b) 若您的工作或联络方式(包括地址、电话号码、电邮地址及传真号码)有所变更,须立即通知本公司,而有关通知须以本公司指定并接纳之方式发出。

(c) 于提供服务过程中,本公司可能会就您的口头指示及双方之间之其他口头沟通进行纪录。

(d) 本公司有权于将您信用卡帐户相关档案压缩或扫描后,将原有实体文件销毁。

向您发出之通知

(e) 除非本公司另有说明,否则您将被视为已收悉本公司发出之任何通知,其送达时间如下:

(i) 若以专人送递方式发出,则于送达您最后提供之地址时视为送达;

(ii) 若上述地址位于香港境内,则于寄出后 48 小时视为已送达;若地址位于香港境外,则以邮递方式寄出后 7 天视为已送达;

(iii) 若以电邮发出,则发送至您最后提供之电邮地址后即视为已送达;或

(iv) 若以手机短讯发出,则发送至您最后提供之手机号码后即视为已送达。

赌博及其他非法交易

(f) 您不得使用信用卡缴付任何赌博款项,或任何按适用法律属非法之交易款项。倘本公司怀疑、相信或知悉任何卡片交易涉及或关连赌博或其他非法活动,本公司有权 (i) 拒绝处理或支付该笔交易,或 (ii) 撤销、取消或拒付该笔交易。

第三方之权利

(g) 按照《合约(第三者权利)条例》规定,除您与本公司外,任何第三方均无权强制执行本协议任何条款,或就本协议任何条款享有任何利益。

适用法律、司法管辖及版本效力

(h) 本协议受香港法律所管辖,并须按香港法律解释。

(i) 您接受香港法院之非专属司法管辖权。

(j) 本协议如中、英文版本之间出现任何歧义,概以英文版本为准,任何中文版本仅供参阅之用。

Credit Card Cardholder Agreement

This Agreement applies to the various ZR Pay credit cards (collectively, the "Credit Card" or "Card") issued or operated from time to time by ZR Credit Services Limited (the "ZR", the "Company", "we" or "us"; registered address: Flat/Rm 01, 23/F., Mira Place, Tower A, Tsim Sha Tsui, Hong Kong) and/or its legal successors and assignees, and also to the related services provided by ZR and/or its affiliates, subsidiaries, associated institutions, and any branch or office (whether acting individually or jointly).

Under Chapter 163 of the Laws of Hong Kong, the Money Lenders Ordinance, the issuance of credit cards is an exempted lending business.

The cardholder must read this Agreement in full before using the Credit Card. Once you use the Credit Card (including its approval and activation), you are deemed to have read, understood and agreed to be bound by all the terms of this Agreement applicable to the Card. ZR is entitled to separately set supplementary terms and conditions for the Credit Card from time to time, and such supplementary terms may not be individually notified to you. In the event of any conflict between this Agreement and other supplementary terms and conditions, the provisions of this Agreement shall prevail. Definitions of the terms used in this Agreement are set out at the end of this document.

1. Cardholder's Responsibilities

The cardholder understands and confirms that the Credit Card is issued on the premise that the information provided by the cardholder is true, complete and accurate.

(a) The cardholder is responsible for the credit card account and all credit card transactions (together with the related fees and charges), even in the following circumstances:

(i) the transaction is not evidenced by a sales slip bearing your signature (including transactions completed by telephone, mail, electronic means or direct debit without a sales slip or signature), or the signature on the sales slip differs from the signature on the Credit Card;

(ii) the credit card transaction arises without your voluntary consent. Even if the Credit Card or this Agreement is subsequently terminated, your liability will not be released.

(b) The cardholder may not give the Credit Card or the personal identification number to others for use or transfer, nor allow any third party to use your Credit Card or personal identification number.

(c) The cardholder must take reasonable security measures, including:

i. sign the Credit Card immediately upon receipt;

ii. keep the Credit Card safely in a secure place, under your own custody and control, and treat it like cash;

iii. record the credit card number separately in a secure place, kept apart from the Credit Card itself;

iv. remember to retrieve the Credit Card after each use at an ATM;

v. ensure the Credit Card is returned to you promptly after each transaction;

vi. memorize the password as soon as possible after receiving the personal identification number notice, and then destroy the notice document;

vii. be alert to being watched by others when entering the personal identification number;

viii. change the personal identification number from time to time;

ix. change the personal identification number immediately once you suspect it has been learned by others;

x. never write the personal identification number on the Credit Card or keep it together with the Credit Card; any record of the password should be properly concealed;

xi. avoid using easily guessed number combinations as the personal identification number (such as ID card number, date of birth, telephone number or other easily obtainable personal information);

xii. do not reuse the same password for other services or occasions;

xiii. when filling in the "total amount" field of a sales slip, add a currency symbol before the figure and leave no blank writing space;

xiv. print only one sales slip for each transaction;

xv. keep a copy of the sales slip for each transaction for later reconciliation with the credit card statement.

(d) If the Credit Card or personal identification number is lost, stolen, disclosed or used without authorization, you must report as soon as possible in accordance with Clause 5.

(e) If you are the principal cardholder, you must ensure that each supplementary cardholder uses and handles their Credit Card and related matters properly in accordance with this Agreement. Please note that even if the principal cardholder does not enjoy certain services or offers, the supplementary cardholder may still enjoy such services or offers; you must ensure that supplementary cardholders comply with this Agreement and the relevant terms when using such services or offers (if applicable).

2. Setting and Review of Credit Limit

(a) Your Credit Card has a credit limit applicable to general spending and cash advances. For details, please refer to the credit card statement and/or the notice issued by ZR. You are responsible for ensuring that the use of the Credit Card does not exceed the established credit limit.

(b) ZR will determine and review your credit limit from time to time. As required by circumstances, we may adjust different credit limits for your Credit Card at any time, and increase or decrease the limit based on the assessment results, without prior notice to you, including lowering the limit without advance notice. The determination of the credit limit is based on periodic assessment of the relevant credit risk of your card account (covering spending and repayment patterns), as well as the type and value of the collateral you submitted at the time of application (see Clause 13(c)). You may apply to the Company to adjust the credit limit at any time.

(c) The credit limit of the Credit Card is calculated in Hong Kong dollars.

(d) ZR reserves the right to refuse to accept transactions exceeding the credit limit; however, unless we have received and processed your request to cancel the over-limit arrangement, the Company may still, at its own discretion, accept such transactions without further notice. Even if you have opted out of the over-limit arrangement, individual over-limit transactions may still be posted (each such transaction being an "Exempt Credit Card Transaction"). An Exempt Credit Card Transaction generally refers to a credit card transaction that can be completed for payment without being immediately processed by the Company or without prior authorization from the Company. Depending on the type of Credit Card, Exempt Credit Card Transactions may include (but are not limited to) the following:

(i) automatic add-value transactions via Octopus;

(ii) payment transactions completed by mobile device or contactless means;

(iii) transactions that have been approved but posted with delay;

(iv) transactions where the posted amount exceeds the original transaction amount due to factors such as foreign currency conversion; and

(v) transactions approved by Visa or MasterCard Worldwide (if applicable), which may result in over-limit amounts.

Under the provisions of this Agreement, you are responsible for any credit card transaction exceeding the credit limit.

3. Cash Advances and Credit Card Transactions

(a) If you draw a cash advance, the maximum amount that can be drawn is 90% of the available credit limit.

(b) If cash is withdrawn via an ATM, the withdrawal limit will be subject to the daily withdrawal limit of that machine.

(c) The Company shall not bear any liability for a merchant refusing to accept your Credit Card, nor is it responsible for the quality of goods or services provided by the merchant. Your obligations to the Company under this Agreement will not be affected or waived by any claim you make against a merchant. Any dispute between you and a merchant must be resolved by you directly with the merchant; and the establishment, modification or termination of any auto-transfer or direct debit arrangement must first obtain the merchant's consent before the amount can be posted to your credit card account. If you have a dispute with a merchant in this regard, the Company is entitled to refuse to execute the request for the establishment, modification or termination of such arrangement.

4. Credit Card Offers and Privileges

(a) For different types of credit cards, ZR may offer different offers and privileges, and reserves the right to launch new offers, change or withdraw any offers at any time without prior notice. The Company is also entitled to establish, remove or cancel any account linked or connected to the card offers.

(b) Depending on the type of Credit Card, offers and privileges may include (but are not limited to) the following:

(i) mobile payment or contactless payment functions;

(ii) various rewards and offers;

(iii) interest-free installment plans when shopping or using services at designated merchants;

(iv) the cardholder may conduct relevant banking transactions at designated ATMs, point-of-sale terminals or other designated electronic channels (if applicable);

(v) the Company may notify other offer contents from time to time.

(c) Individual offers may require separate application before they can be enjoyed.

Additional Terms for Credit Card Offers and Privileges

(d) ZR may separately issue or amend the relevant additional terms and conditions for card offers and privileges at any time.

(e) Such additional terms and conditions will specify the eligibility requirements, conditions, restrictions, guidelines or instructions applicable to the relevant offer.

(f) The terms and conditions of the relevant offer can be viewed on the Company's website, or obtained by inquiry at the Company's Hong Kong office.

(g) If there is any inconsistency between the terms and conditions of an offer and this Agreement, the terms and conditions of that offer shall prevail.

5. Loss, Theft or Misuse of Credit Card or Personal Identification Number

(a) Once the Credit Card or personal identification number is lost, stolen, disclosed or used without authorization, you must report promptly. Reporting of loss must be conducted through the online portal designated by ZR, and you may contact the Company's customer service department for further assistance.

(b) If you have reported the unauthorized transaction in accordance with this Agreement before the transaction settlement date, you are entitled to withhold payment of the disputed amount. During the investigation, the Company will not levy any finance charges or interest on the disputed amount, nor make any adverse credit report about you to credit reference agencies. However, if after the Company's good-faith investigation it is determined that the report is unsupported, the Company is entitled to re-levy the relevant finance charges or interest for the entire dispute period (including the investigation period). The conclusions reached by the Company after good-faith investigation are binding on you.

Your Liability for Unauthorized Transactions

(c) Before ZR or any member of MasterCard Worldwide (if applicable) receives your report of loss, theft, disclosure or unauthorized use, you are responsible for all cash advances and other transactions arising from the unauthorized use of the Credit Card or personal identification number during that period.

(d) (i) If you have reported the loss, theft, disclosure or unauthorized use of the Credit Card or personal identification number in accordance with Clause 5, your maximum liability for unauthorized transactions (other than cash advances) is HK$500 per card.

(ii) However, please note that the limit set out in Clause 5(d)(i) above does not apply in the following circumstances (you are responsible for the full amount):

(1) you knowingly (whether voluntarily or not) allow another person to use your Credit Card or personal identification number; or

(2) you are involved in fraud or gross negligence in the use or custody of the Credit Card or personal identification number. If you fail to follow any security measures recommended by the Company regarding the use and custody of the Credit Card or personal identification number, such circumstances may be regarded as gross negligence.

(e) The limit set out in Clause 5(d) does not apply to any cash advance transaction.

Reissuance of Credit Card

(f) The Company has no obligation to reissue a Credit Card for you, but may make reissuance arrangements at its discretion. If reissuance is made, the Company will charge a corresponding handling fee (if applicable).

6. Credit Card Statement

(a) The Company will generally issue a credit card statement every month, setting out the following information and other details relating to the Credit Card (including supplementary cards, if applicable):

(i) the total outstanding amount under the credit card account (the "Total Outstanding Balance");

(ii) the deadline for settling all amounts (the "Payment Due Date"). If the Total Outstanding Balance is in the nature of a credit balance, items (i) and (ii) above need not be displayed.

(b) The Company is entitled to send all credit card statements (including statements relating to supplementary cards) together to the principal cardholder.

(c) If you find any unauthorized transaction in any statement, you must notify the Company promptly, within 60 days from the statement due date. If notification is not made within the deadline, the transactions set out in the statement will be regarded as accurate and final, binding on you, and deemed as your waiver of any right to object to or seek remedies for such transactions.

7. Payment

(a) You may pay the outstanding amount by cheque, bank transfer or other means, subject to the Company's general terms and conditions.

(b) If you are leaving Hong Kong, you must make proper arrangements to settle the amounts in the credit card account before departure. Any outstanding amount will bear interest payable to ZR at an annual rate of 20%, calculated on a daily basis.

(c) If there is any outstanding amount in your account, the Company will apply funds remitted or deposited into the card account to settle the existing outstanding balance in the following order:

(i) all fees incurred on the card account;

(ii) the spending amounts under the card account;

(iii) any remaining balance will be retained in the card account.

(d) Without affecting the effect of Clause 7(c) above, the Company is entitled to apply funds deposited or remitted into the credit card account to settle the outstanding balance in such other order as it considers appropriate, without prior notice to you.

(e) If you conduct a credit card transaction in a currency other than Hong Kong dollars, the Company will convert it into Hong Kong dollars before posting it to your credit card account, with the exchange rate determined by reference to the rate adopted by the Company on the date of conversion according to MasterCard Worldwide (if applicable). The Company will charge a certain percentage of the transaction amount as a handling fee, and any fee (in whole or in part) charged by MasterCard Worldwide for the transaction will also be posted to the credit card account. If your Credit Card is a US dollar card and the transaction currency is not US dollars, the same arrangement will apply.

(f) (i) Under this Agreement, all amounts payable (including the outstanding amount, interest, fees and charges of the credit card account) must be paid in full. You may not deduct from the amounts payable to the Company any amount the Company may owe you. If applicable laws or regulations require a deduction for taxes, related fees or other reasons, or if the Company is subsequently required by applicable laws or regulations to refund repayment amounts already received, you must make up the difference to ensure that the amounts received by the Company under this Agreement are complete and undiminished.

(ii) You agree that the termination of the Credit Card is conditional on the following premise: under any applicable law or regulation, the amounts received by the Company for the settlement of outstanding amounts will not be refunded or deducted. If after the termination of the Credit Card the Company is required by applicable laws or regulations to refund repayments already received, or if the Credit Card is terminated before the Company has received full settlement of the outstanding amount, you (or your estate) remain responsible for making up the difference or balance, ensuring that the amounts received by the Company under this Agreement are complete, and the Company is entitled to pursue such difference or balance from you as if the Credit Card had never been terminated.

(iii) You hereby confirm that, for any amount payable to the Company under this Agreement, no withholding tax or other deduction or withholding liability (whether for tax or other reasons) shall be borne, whether under the applicable laws or regulations of Hong Kong or any other country in which you reside, all of which are your own responsibility. Upon the Company's request, you must promptly provide relevant supporting documents to prove that you have discharged the relevant deduction or withholding obligations. You further agree to fully indemnify the Company on demand for all consequences arising from failure to discharge the above obligations (including any claim any authority may make against the Company), and to exempt the Company from liability.

(iv) The effect of this Clause 7(f) will continue after the termination of the Credit Card.

(g) You agree that the Company may refund part or all of the credit balance in any manner it decides at its own discretion, including (but not limited to) mailing a cashier's order to your last provided notice address, without prior notice.

(h) You agree that if the outstanding amount is not settled, the Company may realize collateral of a corresponding amount from the credit card account to offset the payment.

8. Fees and Charges

(a) If you have settled the statement balance in full on or before the Payment Due Date, no finance charges or late payment penalties are payable. The settlement of the outstanding amount covers all fees, charges, costs and expenses related to credit card transactions.

(b) Depending on the nature of the credit card transaction and the status of the card, you may enjoy an interest-free repayment period of up to 56 days.

(c) Finance Charges

(i) If you fail to settle the statement balance in full on or before the Payment Due Date, the Company may levy finance charges without prior notice, in the following circumstances:

(1) interest on the outstanding Total Outstanding Balance from the statement date immediately preceding the Payment Due Date, until the Company receives full payment; and

(2) each new transaction amount posted to the credit card account from that statement date, from the transaction date until the date the Company receives full payment.

(ii) Finance charges accrue daily and are calculated monthly at a specified rate. The Company is entitled to set different rates for outstanding cash advances and outstanding general spending transactions.

(d) Late Payment Fee

If you fail to pay the amount due in full on or before the Payment Due Date, the Company may, without prior notice, additionally charge a late payment fee that is distinct from finance charges. Such late payment fee will be posted to your credit card account on the next statement date.

(e) Other Fees

The following are the applicable fees you must pay; if you require additional services, other corresponding fees may apply.

(i) Over-limit handling fee: if the Total Outstanding Balance (excluding all fees and charges posted to the credit card account in the current period) exceeds the credit limit, the Company will treat this as an informal application by you to increase the credit limit. The Company may approve the application at its discretion, and may charge a handling fee for reviewing the application without prior notice;

(ii) Cash advance handling fee: for each cash advance, the Company will immediately levy the relevant handling fee and charges on the date of the advance;

(iii) Auto-transfer rejection handling fee: if an auto-transfer arrangement is rejected, the Company will treat this as an informal request by you for special handling service, and may charge a corresponding handling fee without further notice;

(iv) Card reissuance handling fee: a handling fee is payable for any Credit Card reissued before the card renewal period;

(v) Information retrieval fee: for copies of sales slips requested by you, the Company will charge an information retrieval fee;

(vi) Annual fee: the Company may charge or waive an annual fee for your Credit Card and any supplementary card; and

(vii) Foreign currency transaction handling fee: for credit card transactions conducted in a currency other than Hong Kong dollars, the Company is entitled to require you to bear, in whole or in part, the transaction handling fee charged by MasterCard Worldwide (if applicable) to the Company.

(f) The Company may adjust the above fees and charges at any time without prior notice.

(g) The Company will deduct the relevant fees and charges directly from your credit card account, and such fees and charges are not waivable or refundable.

9. Supplementary Cards

(a) If you are a supplementary cardholder, you are responsible for the use of the supplementary card issued to you, and are bound by all the terms and conditions of this Agreement.

(b) If you are the principal cardholder, you are responsible for the use of both the principal card and each supplementary card. The Company is entitled, at its own discretion, to pursue the principal cardholder, the supplementary cardholder, or both, for the debts arising from the use of a supplementary card (including all fees and charges); this right of recovery includes (but is not limited to) realizing the principal cardholder's collateral to repay the outstanding amount in the manner described in Clause 7(h).

10. Termination of the Agreement

Termination by You

(a) You may terminate the Credit Card at any time. To terminate, you must give written notice to the Company and return the Credit Card together with all supplementary cards (if any). If the card terminated is the principal card, the termination notice will simultaneously cover the principal card and all supplementary cards (if any).

(b) For a supplementary card itself, either the principal cardholder or that supplementary cardholder may propose termination. The party proposing termination must notify the Company in writing and return that supplementary card to the Company.

(c) Before returning the Credit Card, you should cut the card in half.

The Company's Rights of Termination and Suspension

(d) The Company is entitled to terminate or suspend any Credit Card (whether principal or supplementary, if any) at any time, without prior notice to you and without stating any reason.

After Termination of the Agreement, You Remain Liable for Outstanding Debts

(e) Whatever the reason for the termination of the Credit Card, or after your bankruptcy or death, the following amounts become immediately due and payable in full to the Company:

(i) the outstanding balance under the credit card account; and

(ii) any completed but not yet posted card transaction amounts.

(f) Even if the Credit Card has been terminated, or you have become bankrupt or died, you (or your estate) must still settle all outstanding amounts to the Company, including amounts arising under recurring payment arrangements established or authorized by you before the termination of the Credit Card, bankruptcy or death (even if such amounts are only debited from the account afterwards). The Company is entitled to continue levying finance charges (including any costs and expenses incurred by the Company) on any outstanding amount until full settlement.

Auto-transfer or Other Standing Instructions

(h) The termination of the Credit Card will not automatically terminate or transfer any arrangement established or authorized by you before termination, including auto-transfer arrangements, direct payment authorizations, recurring payment arrangements, installment payment plans and other standing instruction arrangements, whether or not such arrangements apply the settlement method specified in Clause 7(h).

11. Limitation of the Company's Liability

(a) The Company shall not be liable to you or any third party for the following (or any) matters:

(i) any delay, malfunction or computer processing error arising from the provision of any equipment, facility or service, but only to the extent caused by or attributable to circumstances beyond the Company's reasonable control;

(ii) any indirect loss arising from or relating to the Company's provision of equipment, facilities or services, or its failure or delay in providing such equipment, facilities or services.

(b) If any equipment, facility or service is provided to you other than by the Company's agent, the Company shall not be liable for any act or omission of that person, provided the Company has exercised reasonable care and skill in selecting or supervising that person.

12. Indemnity

(a) Except as otherwise provided in Clause 12(b) below, you must indemnify and compensate (i) the Company, (ii) the Company's agents and trustees, and (iii) the officers and employees of the Company and of the Company's agents or trustees, for the following matters that may arise from or in connection with the use of the equipment, facilities or services provided to you by the Company:

(i) all actions, legal proceedings and claims brought by the Company or others; and

(ii) all losses, damages and reasonable fees and expenses. This indemnity obligation will continue in effect after the termination of this Agreement.

(b) If it is proven that any action, litigation, claim, loss, damage or amount listed in Clause 12(a) was caused by the gross negligence or willful default of (i) the Company, (ii) the Company's agents or trustees, or (iii) the officers, employees of the Company or of the Company's agents or trustees, then you are not liable for the liability under Clause 12(a), provided that such liability is directly, entirely and reasonably foreseeably caused by such gross negligence or willful default.

(c) If you fail to pay any amount due on time, or breach any term of this Agreement, the Company may exercise its rights to pursue or recover any outstanding amount, and is entitled to engage agents or service providers for this purpose. You must compensate and indemnify the Company for all fees (including legal fees) and expenses reasonably incurred by the Company in pursuing or recovering any outstanding amount. The Company is entitled to continue levying finance charges on any outstanding debt (including any costs and fees incurred by the Company) until full settlement.

(d) The provisions of Clause 7(h) apply to all indemnities made by you to the Company.

13. Right of Set-off

(a) In addition to any general right of set-off or other rights under law or any agreement, the Company is entitled, without prior notice, to combine the outstanding balance of your card account with the balance of any other account you have opened with the Company. If you are the principal cardholder, this right of the Company also extends to the outstanding balance of any supplementary cardholder's credit card account.

(b) Notwithstanding any other provision of this Agreement, the Company is entitled, without prior notice, to set off or transfer the assets you have pledged to the Company, including (but not limited to) realizing virtual assets or any other type of assets held by the Company (whether for any consideration or with any counterparty) as your (including principal and/or supplementary card) collateral, to settle any or all of the debts you owe to the Company under this Agreement.

(c) In view of this, if you fail to provide any virtual assets and/or other types of assets as collateral for the Credit Card granted by ZR, the Company will refuse to approve the relevant credit card application.

14. Amendment of Terms and Conditions

The Company is entitled to amend the terms, interest rates, finance charges or other charges of this Agreement at any time. The Company will notify you in an appropriate manner as soon as practicable. Unless your Credit Card has been returned to the Company and terminated before the effective date of the change, you will be bound by such changes.

15. Collection and Disclosure of Data

(a) Definitions

The terms used in this Clause 15 have the following meanings; if any term used in this clause is not otherwise defined below, the meaning set out at the end of this Agreement applies.

Authority means any local or foreign judicial, administrative, public or regulatory authority, any government department, any tax authority, securities or futures exchange, court, central bank or law enforcement agency, self-regulatory or industry organization or association of the financial services industry, or any of their agencies, to part of whose jurisdiction ZR is subject.

Compliance Obligations means ZR's responsibility to comply with (a) any law or international guidelines and internal policies or procedures, (b) any requirement of any authority or any legally required reporting, disclosure or other obligation, and (c) laws requiring ZR to verify the identity of customers.

Connected Person means an individual or entity (other than yourself) who provides data (including personal data or tax data) to any member of ZR for or on your behalf, or an individual or entity whose data (including personal data or tax data) is received by any member of the ZR Group in the course of providing services. A Connected Person may include any guarantor, company director or officer, partner or member of a partnership, any "beneficial owner", "controller", beneficial owner of a trust, trustee, settlor or protector, holder of a designated account, payee of a designated payment, your representative, agent or nominee, or any other individual or entity connected with you and related to the relationship between you and ZR.

Controller means an individual who exercises control over an entity. In the case of a trust, such persons include the settlor, trustee, protector, beneficiary or class of beneficiaries, and any other person exercising ultimate effective control over the trust; for entities other than trusts, it means persons in the same or a similar control position.

Financial Crime means money laundering, terrorist financing, bribery, corruption, tax evasion, fraud, evasion of economic or trade sanctions, or any act or attempt to circumvent or violate laws relating to the above.

Financial Crime Risk Management Activity means any action taken by the Company or a member of the ZR Group to discharge compliance obligations relating to the detection, investigation and prevention of financial crime.

Laws include any local or foreign law, regulation, judgment or court order, voluntary code, sanctions regime applicable to the Company or a member of the ZR Group, and any agreement or treaty made between any member of ZR and any relevant authority, or between authorities.

Personal Data means any data relating to an individual by which the individual's identity can be identified.

Services covers: (a) opening, maintaining, closing and terminating your account or card (including supplementary cards); (b) providing credit services and other product services, custody services, processing applications, conducting credit and eligibility assessments; (c) maintaining the overall business relationship between the Company and you, including promoting services or products to you, conducting market research, insurance, audit and administrative matters.

Beneficial Owner means any individual who is directly or indirectly entitled to enjoy more than ten percent of the profits of an entity, or who holds more than ten percent of the interests in an entity.

Tax Authority means a tax, revenue or financial regulatory authority in Hong Kong or overseas.

Tax Data means files or data relating to the tax status of yourself or a Connected Person.

Your Data means all or any of the following (as applicable) relating to you or your Connected Persons: (i) personal data, (ii) data relating to you, your account, card (including supplementary cards), transaction records, use of the Company's products and services, and your relationship with the ZR Group, and (iii) tax data.

(b) Collection, Use and Sharing of Data

This Clause 15(b) is intended to explain how the Company will use data relating to you and Connected Persons. The Personal Data (Privacy) Ordinance Notice (formerly the Personal Data (Privacy) Ordinance Customer Notice, the "Notice") applicable to you and others also contains important explanations of the Company's and the ZR Group's use of such data, and you should read this clause together with that Notice. The Company and members of the ZR Group may use your data in accordance with this Clause 15 and that Notice. Your data will in principle not be disclosed to any person (including other members of the ZR Group), except in the following circumstances:

• disclosure required by law;

• the Company has a public duty to disclose;

• disclosure for the Company's legitimate business purposes;

• disclosure for which the consent of the data subject has been obtained;

• disclosure as required under Clause 16 of this Agreement or that Notice.

Collection

(i) The Company and other members of the ZR Group may collect, use and share your data. Such data may be requested by or on behalf of the Company or the ZR Group, may be obtained directly from you, persons acting on your behalf, or other sources (including information obtained through public channels), and may be generated or integrated with other data held by the Company or any member of ZR.

Use

(ii) The Company and members of the ZR Group may use, transfer and disclose your data for the following purposes: (1) purposes related to those listed in this Clause 15; (2) the purposes listed in that Notice (applicable to personal data); (3) purposes related to matching with any data held by the Company or the ZR Group for any purpose (whether or not intended to take any adverse action against you) (the above (1) to (3) collectively, the "Purposes").

Sharing

(iii) Where necessary and appropriate, the Company may transfer or disclose any of your data to the recipients listed in that Notice (who may also use, transfer and disclose the relevant data for the above purposes).

Your Obligations

(iv) You agree that if there is any change to the data provided to the Company or members of ZR, you must immediately notify the Company in writing, and must promptly respond to any request made by the Company or members of ZR regarding your data.

(v) You confirm that, for any personal data (including personal data or tax data) that has been (or will be) provided to the Company or member companies of the ZR Group, each relevant Connected Person has been (or will be, at an appropriate time) informed of, and has agreed to, the provisions of this Clause 16 and that Notice (which the Company may amend or supplement from time to time) regarding the processing, disclosure and transfer of their data. You should inform the relevant Connected Persons that they have the right to access and correct their own personal data.

(vi) You agree to take the steps required by any applicable data protection law or confidentiality law to permit the Company to use, store, disclose, process and transmit all your data in the manner described in this Agreement. If you fail in any way to comply with the obligations set out in items (v) and (vi), you agree to notify the Company immediately in writing.

(vii) If any of the following occurs:

• you or any Connected Person fails to provide relevant data in a timely manner as reasonably required by the Company; or

• you or any Connected Person refuses or withdraws any consent required by the Company to process, transfer or disclose relevant data for the above purposes (except for purposes relating to promoting or marketing products and services to you); or

• the Company or a member of the ZR Group suspects involvement in financial crime or related risk, the Company may:

(A) refuse to provide you with new services, or be unable to continue providing all or part of existing services, and reserves the right to terminate the business relationship with you;

(B) take all necessary actions to ensure that the Company or members of the ZR Group discharge their compliance obligations; and

(C) where permitted by local law, freeze, transfer, close or terminate your account or card (including supplementary cards).

In addition, if you fail to provide your own or a Connected Person's tax data, together with the relevant declarations, waivers and consents, in a timely manner as required, the Company may determine at its own discretion the status of you or the Connected Person (including whether reporting to a tax authority is required), and may be required by law to withhold and pay a corresponding amount to the relevant tax authority.

(c) Financial Crime Risk Management

(i) Financial Crime Risk Management Activity may cover: (A) screening, intercepting and reviewing any instruction, communication, withdrawal request, service application or payment issued by you or on your behalf; (B) verifying the source of funds or the identity of the intended payee; (C) combining your data with other relevant data held by the ZR Group; (D) further verifying the status of an individual or entity, including whether they are subject to sanctions, or verifying the identity of you or a Connected Person.

(ii) The Financial Crime Risk Management Activities conducted by the Company and the ZR Group may result in payment delays, obstruction or rejection, or affect the processing of instructions, service applications or the provision of all or part of the services. To the extent permitted by law, neither the Company nor any member of the ZR Group shall be liable for all or part of any loss (whatever the cause) suffered or incurred by you or any third party as a result of such risk management activities.

(d) Tax Compliance

You confirm and undertake that you will be solely and fully responsible for understanding and complying with your tax responsibilities in all jurisdictions, as well as the tax obligations related to opening and using accounts or services provided by the Company or members of ZR (including taxes payable, filing tax returns or other documents required to pay relevant taxes). Anyone acting as a Connected Person must make the same confirmation regarding their own situation. The tax laws of individual countries or regions may have extraterritorial effect, regardless of the domicile, residence, nationality or place of incorporation of a Connected Person or yourself. Neither the Company nor any member of the ZR Group provides tax advice; you are advised to seek independent legal and tax advice on this. Neither the Company nor any member of the ZR Group is responsible for your tax liabilities that may arise in any jurisdiction, including tax matters specifically related to the opening and use of accounts, cards (including supplementary cards) and services provided by the Company or members of ZR.

(e) Other Matters

(i) If any provision of this Clause 15 conflicts or is inconsistent with the provisions of any other service, product, business relationship, account or agreement between you and the Company, this Clause 15 shall prevail.

(ii) If, under the laws of any jurisdiction, all or part of the provisions of this Clause 15 are held to be illegal, invalid or unenforceable in any respect, this shall not affect or impair the legality, validity or enforceability of that provision in other jurisdictions, nor the legality, validity or enforceability of the remainder of this Clause 15 in the relevant jurisdiction.

(f) Continuing Effect After Termination

Even if the Company or a member of the ZR Group terminates the provision of any service to you, closes any of your accounts, or terminates any of your cards (including all supplementary cards), the provisions of this Clause 15 will continue to apply.

16. General Matters

(a) Ownership of the Credit Card always belongs to the Company, and you must return it at any time upon ZR's request.

(b) If your work or contact details (including address, telephone number, email address and fax number) change, you must notify the Company immediately, and such notice must be given in a manner designated and accepted by the Company.

(c) In the course of providing services, the Company may record your oral instructions and other oral communications between the parties.

(d) The Company is entitled to destroy the original physical documents after compressing or scanning the files relating to your credit card account.

Notices to You

(e) Unless otherwise stated by the Company, you will be deemed to have received any notice issued by the Company, with the time of delivery as follows:

(i) if given by personal delivery, deemed delivered when delivered to your last provided address;

(ii) if the above address is within Hong Kong, deemed delivered 48 hours after posting; if the address is outside Hong Kong, deemed delivered 7 days after posting by mail;

(iii) if given by email, deemed delivered upon being sent to your last provided email address; or

(iv) if given by mobile SMS, deemed delivered upon being sent to your last provided mobile number.

Gambling and Other Illegal Transactions

(f) You may not use the Credit Card to pay any gambling amount, or the amount of any transaction that is illegal under applicable law. If the Company suspects, believes or knows that any card transaction involves or is connected with gambling or other illegal activities, the Company is entitled to (i) refuse to process or pay the transaction, or (ii) revoke, cancel or reject the transaction.

Third Party Rights

(g) Under the Contracts (Rights of Third Parties) Ordinance, other than you and the Company, no third party has the right to enforce any term of this Agreement, or to enjoy any benefit under any term of this Agreement.

Governing Law, Jurisdiction and Version Effect

(h) This Agreement is governed by and shall be construed in accordance with the laws of Hong Kong.

(i) You accept the non-exclusive jurisdiction of the Hong Kong courts.

(j) In case of any discrepancy between the Chinese and English versions of this Agreement, the English version shall prevail; any Chinese version is for reference only.

Definitions

Supplementary Cardholder means any person to whom the Company issues a supplementary card.

Agreement means this Credit Card Cardholder Agreement, and includes any amendments made by the Company from time to time.

Applicable Regulations means any law, regulation or court order, or any rule, direction, guideline, code, notice or restriction (whether or not legally binding) issued by any authority, industry organization or self-regulatory body, whether or not applicable only in Hong Kong, so long as it is binding on the Company or you, or must be complied with by the Company or you from time to time.

ATM means automated teller machine.

Authority means any regulatory authority, government department (including tax authority), clearing or settlement bank or exchange.

Credit Card means any credit card issued by the Company from time to time.

Card Account means the account opened for a card to record card transactions and other related matters.

Card Transaction means each transaction (including cash advances) conducted using your card or password.

Cash Advance means the withdrawal of cash from the credit card account, including the withdrawal of any amount in the account.

Hong Kong means the Hong Kong Special Administrative Region of the People's Republic of China.

ZR Group means ZR Credit Services Limited, and its affiliates, subsidiaries, associated institutions, and any branch or office (whether acting individually or jointly), and the term "member of ZR" has the same meaning.

Associated Account is as defined in Clause 4(e).

Mainland China means the People's Republic of China, but excluding the Hong Kong Special Administrative Region and the Macao Special Administrative Region of the People's Republic of China.

Minimum Payment Due is as defined in Clause 6(a).

Payment Due Date is as defined in Clause 6(a).

Personal Identification Number means any code or combination of numbers used to verify your identity when using a card or other services (if applicable) to obtain information, issue instructions or conduct transactions.

Total Outstanding Balance is as defined in Clause 6(a).

You or Your means the person to whom the Company issues a card (whether principal or supplementary).

This Agreement takes effect from [ ] [ ], 2026.
